Genetic System Search for Technical Analysis End User License Agreement

IMPORTANT - READ CAREFULLY

This end user license agreement is a legal contract between you (either an individual or a single entity) and Security Genetics Inc. relating to the Genetic System Search for Technical Analysis (GSSTA) software product, which includes computer software and, as applicable, associated media, printed materials, and electronic documentation.

By clicking the Install button below or pressing the enter key, or by installing, copying, or otherwise using the software, you agree to be bound by the terms of this agreement. If you do not agree to the terms of this agreement, do not install or use the software.

Individual and Multiple Licenses. Each license allows the use of this software on a single computer at a time. You may install the software on additional computers, but the software may not be in use on more than one computer at a time unless you purchase multiple licenses. You may make back-up copies of the software for archival purposes.

All Sales Are Final. No refunds will be given.

Title. You agree that no title to the intellectual property in the software is transferred to you. The software is protected by the copyright laws of the United States of America and other countries, and Security Genetics Inc. retains all ownership, rights and intellectual property rights in the software. You may not separately publish, sell, market, distribute, lend, lease, rent, or sublicense the software code. You may not redistribute, sell, decompile, reverse engineer or disassemble the software. You may not transfer your license to use the software to another party.

Electronic Software Downloads. Online software purchases are delivered electronically. No hard deliverables are included for software purchases.

Limited Warranty. Security Genetics Inc. warrants that the software will provide the features and functions generally described in the product specification on our website when you purchased it and in the product documentation. Media on which the software is furnished, if any, will be free from defects in materials and workmanship.

In no event shall Security Genetics Inc. be liable for any damages whatsoever, and in particular Security Genetics Inc. shall not be liable for special, indirect, consequential, or incidental damages, or damages for lost profits, loss of revenue, or loss of use, arising out of or related to any Security Genetics Inc. software product or the information contained in it, whether such damages arise in contract, negligence, tort, under statute, in equity, at law or otherwise even if you have informed Security Genetics Inc. of the possibility or likelihood of such damages or losses.

You also understand that Security Genetics Inc. cannot and does not guarantee or warrant that files available for downloading will be free of infection or viruses, worms, Trojan horses or other code that manifest contaminating or destructive properties. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for accuracy of data input and output, and for maintaining a means for the reconstruction of any lost data.

You assume total responsibility and risk for your use of the software. It is solely your responsibility to evaluate the accuracy, completeness and usefulness of all opinions, advice, services, and other information provided. We do not warrant that the software or your ability to use it will be uninterrupted or error-free.

Security Genetics Inc. does not endorse or recommend any particular investment or trading strategy or mechanical trading system. Security Genetics Inc. is not an investment advisory service, nor a registered investment advisor or broker/dealer. No representation is being made that the software will guarantee profits in trading. Anyone using or relying on the software for investment or trading purposes does so at their own risk, understanding that it may result in substantial financial losses.

Your exclusive remedy under the above limited warranty shall be, at our option, either a full refund of the purchase price or correction of the defective software or media.

Governing Law. This Agreement shall all be governed and construed in accordance with the laws of the State of Oregon, United States of America. You agree that any legal action or proceeding between Security Genetics Inc. and you for any purpose concerning this Agreement or the parties' obligations hereunder shall be brought exclusively in a federal or state court of competent jurisdiction sitting in Oregon.

Security Genetics Inc.'s failure to insist upon or enforce strict performance of any provision of this agreement shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this agreement. Security Genetics Inc. may assign its rights and duties under this agreement to any party at any time without notice to you. If any provision or portion of this agreement shall be invalid or unenforceable for any reason, it is understood and agreed that such invalidity or unenforceability of any provision or portion of the agreement shall not affect the validity or enforceability of the other provisions or portions of this agreement. This agreement does not supersede any express warranties we made to you. Any modification to this agreement must be agreed to in writing by both parties.
